Shaka is a non-custodial, permissionless smart contract protocol deployed on public blockchain networks. Shaka LLC provides an interface to interact with this protocol but does not hold, control, or have access to any funds transacted through the protocol's smart contracts.
The Shaka smart contracts are immutable. Once deployed, they cannot be modified, upgraded, or overridden by anyone — including Shaka LLC. No human intervention is possible in the execution of smart contract logic.
By accessing or using shaka.deal or interacting with the Shaka smart contracts, you agree to be bound by these Terms. If you do not agree, do not use the protocol.
Shaka LLC is not a bank, financial institution, or money services business. Shaka LLC does not hold, manage, or control user funds at any point. When a deal is funded, the smart contract routes payments directly and instantly to the designated wallet addresses. No funds are stored or held in escrow at any stage.
You may not use the Shaka protocol for any illegal activity, including but not limited to money laundering, sanctions evasion, fraud, or the purchase of illegal goods or services. Shaka LLC does not control access to the protocol. Users are solely responsible for ensuring their use of the interface complies with laws applicable in their jurisdiction.
The Shaka protocol charges a 2% fee on each transaction, collected automatically by the smart contract at the moment of payment. This fee is hardcoded and immutable — it cannot be changed by anyone. Shaka LLC has no obligation to provide fee rebates or refunds.
Shaka operates two commission mechanics — a referral reward for creating a deal, and an affiliate reward for sharing a link — collectively the "Program." Participation is governed by the following terms, which form an integral part of these Terms of Service.
Nature of the relationship. Participation does not constitute employment, partnership, or joint venture with Shaka LLC. Commissions are distributed automatically by the Smart Contract on-chain; they are not held, calculated, or paid by Shaka LLC, which does not intervene in their routing. Each participant is solely responsible for the characterization of these commissions under the law and tax regime applicable to them.
No registration. There is no sign-up, no onboarding, no KYC, and no approval process. A wallet is all that is required: anyone who creates a deal or shares a referral link participates automatically, by the act of using it. Creating a deal and opting into the referral reward is available to the deal's creator; the affiliate reward applies to links shared to other users and cannot be earned on one's own deals. Shaka LLC does not assign identifiers, does not register wallet addresses, does not collect information about participants, and does not vet or approve anyone before commissions accrue.
Commission terms. Creating a deal earns a fixed 1% of that deal's transaction value, paid to the wallet that created it. Sharing a referral link earns a fixed 0.2% on every deal created through that link. The two are independent and stack — a participant who both creates deals and shares their link earns both simultaneously. Both commissions carry no cap, no minimum, and no expiry, and are distributed automatically and irrevocably on-chain with each transaction. No claim or request is necessary. Once distributed on-chain, commissions cannot be recalled, reversed, or modified by any party, including Shaka LLC.
Immutability. The Smart Contract is fully immutable. No party — including Shaka LLC — can modify, pause, upgrade, or terminate it after deployment. Referral and affiliate commissions will be routed automatically for as long as the Smart Contract operates on-chain. Participants accept these characteristics as fundamental and known features of the system and waive any claim related to its immutability.
Conduct. A participant may not represent themselves as an employee or official representative of Shaka LLC. A participant may use Shaka's name and branding solely to introduce potential users to the platform. A participant may not engage in misleading, fraudulent, or unlawful promotional practices. Shaka LLC may suspend access to platform tools in cases of fraud or breach — but this has no effect on on-chain commission routing, which continues automatically regardless of any platform-level action.
Tax obligations. A participant is solely responsible for declaring and paying any taxes, duties, or social contributions applicable to commissions received in their jurisdiction of tax residence. Referral and affiliate commissions constitute income from commercial agency services rendered to Shaka LLC and must be treated as such in tax declarations. The on-chain transaction record serves as the sole payment proof. No invoice to Shaka LLC is required. Shaka LLC makes no representation as to the tax treatment of commissions in any jurisdiction.
Use of blockchain protocols involves significant risk, including but not limited to: smart contract bugs, network congestion, token price volatility, regulatory changes, and loss of private keys. Only use Shaka with funds you can afford to lose.
The Shaka protocol is provided "as is" and "as available", without warranty of any kind, express or implied. The smart contracts are public and immutable — trust the code. Shaka LLC does not guarantee that the protocol will be uninterrupted, error-free, or free of vulnerabilities, and makes no warranty as to merchantability, fitness for a particular purpose, or non-infringement.
Nothing on shaka.deal or provided by Shaka LLC constitutes financial, investment, tax, or legal advice. Shaka is an on-chain payment router, not a financial institution, broker, or advisor. You are responsible for your own decisions and for obtaining independent professional advice where appropriate.
To the maximum extent permitted by law, Shaka LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the protocol, including but not limited to loss of funds, loss of profits, or loss of data. In relation to the Program specifically, Shaka LLC has no obligation of any kind: there is no registration or onboarding step, and commissions are routed entirely by the immutable Smart Contract without any action, custody, or intervention from Shaka LLC. Shaka LLC is not liable for any blockchain failure, network congestion, wallet incompatibility, or loss of private keys affecting commission receipt.

Shaka LLC may update these Terms at any time. Continued use of the interface after changes constitutes acceptance of the updated Terms. The Shaka smart contracts are immutable and unaffected by any changes to these Terms. Referral commissions already registered on-chain are likewise unaffected by any update to these Terms.
